In line with ValueMed’s continuing objective to strengthen franchisee profitability, improve cash flow discipline, and encourage the prioritization of higher-margin products, the ValueMed HQ is hereby issuing the Revised Generics and VitaFix Rebates Program.

This memo supersedes and replaces all previous rebates-related memos, circulars, guidelines, and issuances released in 2025 or earlier, including the existing Generics and/or VitaFix rebates programs. All provisions stated herein shall be the sole and controlling guidelines for the rebates program moving forward.

PROGRAM NAME ValueMed Generics and VitaFix Rebates Program

PROGRAM COVERAGE This rebates program applies exclusively to the following product categories:

• Generics Medicines

• VitaFix (ValueMed In-House Brand) products

Branded ethical medicines and other non-eligible items are expressly excluded from this program.

REBATES BASIS AND CONDITIONS

1. Rebates shall be computed based on the total monthly purchase value of Generics Medicines and VitaFix products, combined.

2. Only PAID and FULLY COLLECTED purchases are eligible for rebates.

3. Purchases that are unpaid, partially paid, or with outstanding balances are NOT ELIGIBLE for rebate computation.

4. Rebates shall be computed on net purchases, after returns, credits, or adjustments.

This collection-first policy is strictly enforced to protect the financial position of ValueMed HQ and to ensure program sustainability.

MONTHLY TARGETS AND REBATE TIERS

Monthly Paid Purchase (Generics + VitaFix)	Rebate Rate
PHP 80,000 – 119,999	2%
PHP 120,000 – 179,999	3%
PHP 180,000 and above	4%

The minimum qualifying target for rebate eligibility under this program is PHP 80,000 per month, combined Generics and VitaFix purchases.

REBATE RELEASE AND UTILIZATION

1. Rebates shall be released only after verification of full payment and collection by ValueMed HQ.

2. Rebates shall be issued strictly in the form of a Credit Memo / Voucher, and not in cash.

3. Credit Memos may be used as a deduction from the Franchisee’s subsequent purchase billing.

4. Credit Memos are:

   • Non-transferable

   • Store-specific

   • Not convertible to cash

5. Credit Memos may be used only for the purchase of Generics Medicines and VitaFix products.

PROGRAM OBJECTIVES

This revised rebates program aims to:

• Improve franchisee net profitability through higher-margin products

• Encourage appropriate product mix and pharmacist recommendation behavior

• Strengthen payment discipline and cash flow alignment

• Support the sustainable growth of ValueMed Generics and VitaFix brands

MONITORING, COMPLIANCE, AND ENFORCEMENT

ValueMed HQ shall monitor:

• Monthly purchase performance

• Payment and collection compliance

• Proper issuance and utilization of rebate credits

Any form of misrepresentation, manipulation of purchases, circumvention of payment rules, or misuse of rebate credits shall be grounds for disqualification from the program and may be subject to further review and corrective action by ValueMed HQ.

EFFECTIVITY AND REVIEW

This Revised Generics and VitaFix Rebates Program shall take effect on January 9,2026 and shall remain in force until further notice. The program will be reviewed on a quarterly basis. ValueMed HQ reserves the right to amend, suspend, or terminate the program as business conditions may require, with prior notice to Franchisees.
